These Content Partner Terms ("Terms") govern your participation in any creator, affiliate, gifting, sampling, or promotional opportunity offered by Natural Factors Nutritional Products Inc. and its affiliated companies ("Natural Factors," "we," "us," or "our").

By accepting a collaboration invitation, adding a Natural Factors product to your showcase or content, accepting products or other benefits from us, or otherwise participating in a Natural Factors opportunity, you agree to these Terms.

1. Participation

You may create and publish content regarding Natural Factors products in accordance with these Terms and any campaign instructions, approved claims, product information, disclosures, or other guidance we provide.

Participation in one campaign or opportunity does not guarantee future opportunities, compensation, commissions, engagement, sales, or other results. Compensation, commissions, incentives, gifts, or other benefits will be described in the applicable campaign or platform details.

2. Creative Freedom

Natural Factors encourages Content Partners to use their own authentic voice, style, personality, and creative approach. Except where specific disclosures, approved claims, or campaign requirements apply, you are free to create content in the manner you believe will best engage your audience.

Creative freedom does not permit you to make claims or statements that are not approved by Natural Factors or otherwise violate these Terms.

3. Truthful Content

Your content must reflect your honest opinions and actual experience. Content must not be false, misleading, exaggerated, deceptive, or unsupported.

You may not imply that your personal experience is typical, guaranteed, or representative of what others should expect unless Natural Factors has expressly approved such messaging.

4. Approved Claims Only

You may make only product, ingredient, nutritional, wellness, performance, scientific, efficacy, comparative, or other product claims that Natural Factors has expressly approved.

You may not make unapproved health, medical, disease, treatment, prescription-drug, efficacy, or similar claims regarding Natural Factors products.

These requirements apply to all content, including videos, livestreams, captions, images, hashtags, text overlays, comments, replies, product descriptions, and other communications.

5. Required Disclosures

You must clearly and conspicuously disclose your relationship with Natural Factors whenever required by law, platform requirements, or our instructions.

Where applicable, disclosures may include that content is sponsored, paid, commissioned, affiliated, gifted, or created in connection with a commercial relationship. You must use any disclosure language or platform disclosure tools that we require.

6. Comments and Consumer Interactions

These Terms apply to statements made in captions, comments, replies, livestreams, pinned comments, product descriptions, and other consumer interactions relating to Natural Factors products.

You may not endorse, repeat, validate, encourage, or amplify claims that would be prohibited if made directly by you.

7. Content Review and Corrective Actions

Natural Factors may review content before or after publication, although we are not obligated to do so. Any review or approval by Natural Factors does not relieve you of responsibility for complying with these Terms, applicable law, platform requirements, and our instructions.

At any time, we may require additional disclosures, modifications, corrections, clarifications, or removal of content. You agree to promptly comply with such requests and, unless otherwise instructed, to do so within twenty-four (24) hours of notice.

8. Brand Assets

All trademarks, logos, product names, brand assets, packaging, marketing materials, and related intellectual property remain the property of Natural Factors or its licensors.

Subject to these Terms, Natural Factors grants you a limited, revocable, non-exclusive right to use approved brand assets solely for approved promotional activities.

9. Content License

You retain ownership of original content created by you.

However, by participating in a Natural Factors opportunity, you grant Natural Factors and its affiliates a worldwide, perpetual, royalty-free, transferable, sublicensable right to use, reproduce, publish, display, distribute, edit, adapt, and promote content created in connection with the opportunity, including your name, likeness, voice, social media handle, and appearance as incorporated into such content.

10. Confidential Information

You may receive confidential product, marketing, scientific, commercial, regulatory, or business information from Natural Factors.

You agree not to disclose or use such information except as necessary for participation in the applicable opportunity. Confidentiality obligations survive termination of your participation.

11. Suspension and Termination

Natural Factors may suspend or terminate your participation immediately if you violate these Terms, fail to follow campaign instructions, make unauthorized claims, fail to provide required disclosures, fail to comply with corrective action requests, violate applicable law or platform requirements, or otherwise create legal, regulatory, reputational, or business risk.

Termination does not affect rights already granted in content previously created under these Terms.

12. General Legal Terms

You are an independent contractor and not an employee, agent, spokesperson, healthcare professional, or representative of Natural Factors.

You are responsible for complying with applicable laws, regulations, advertising standards, and platform requirements.

You agree to indemnify Natural Factors and its affiliates and their respective officers, directors, employees, agents, successors, and assigns from losses, claims, liabilities, penalties, fines, costs, and reasonable legal fees arising out of your violation of these Terms, unauthorized claims, infringement of third-party rights, or failure to comply with applicable requirements.

To the fullest extent permitted by law, Natural Factors will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages. Natural Factors' aggregate liability relating to these Terms or your participation will not exceed the compensation paid to you during the six-month period preceding the event giving rise to the claim.

These Terms are governed by the laws of the State of Washington. Any dispute arising out of or relating to these Terms or your participation will be resolved through final and binding arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules. Arbitration will be conducted before a single arbitrator in King County, Washington, unless the parties agree otherwise.

Any dispute must be brought solely on an individual basis and not as part of a class, collective, consolidated, mass, representative, or similar proceeding. Natural Factors may seek injunctive or other equitable relief in court to protect its intellectual property, confidential information, brand assets, goodwill, or other proprietary rights.

If any provision of these Terms is unenforceable, the remaining provisions remain effective. A failure to enforce any provision is not a waiver. Natural Factors may assign these Terms to an affiliate or successor. Electronic acceptance has the same force and effect as a written signature. Provisions that by their nature are intended to survive will survive termination.
